Are your messages legally binding?
In today’s fast-paced world, it’s not unusual for deals to be made over WhatsApp. Whether it’s agreeing to a price, confirming a job, or settling terms with a quick ‘yes’ and a thumbs-up emoji, many of us rely on messaging apps to get things done. But here’s the big question: can those casual chats actually form a legally binding contract in Trinidad and Tobago?
Surprisingly, the answer is often yes.
Courts in T&T are increasingly recognising that digital communications – especially those exchanged via WhatsApp, email, or other messaging platforms – can amount to enforceable agreements. As long as the key elements of a contract are present (offer, acceptance, intention to create legal relations, and consideration), the format doesn’t necessarily matter. That means a string of messages confirming a price, timeline and scope of work could be just as valid as a formal written contract.
Of course, context is everything. A quick “ok” in response to a quote might not be enough on its own, but if the conversation clearly shows both parties agreeing to specific terms, and one side begins performing the work, courts may treat that as a valid contract. In fact, there have been cases where WhatsApp exchanges were used as evidence to prove that a business deal had been made – even when no formal document was signed.
So what does this mean for you?
If you’re a business owner, contractor or even just renting out property, it’s wise to treat your digital communications with care. Be clear in your messages, avoid vague language, and always confirm important details in writing – even if it’s via WhatsApp. And if you’re relying on a message thread as proof of an agreement, make sure it includes all the essentials: who’s doing what, for how much, and when.
